Client Terms

Purchases from Velanir

Effective October 7, 2026 · Version client-terms-2026-10

These Client Terms (“Client Terms”) apply when a business (the “Client,” “you”) uses a Client Workspace on the Velanir Platform and buys a Client Workspace subscription, Client usage packs or Client automatic top-ups. They supplement the Velanir Terms of Service (the “General Terms”), which also apply. Capitalized terms not defined here have the meanings given in the General Terms. If these Client Terms conflict with the General Terms, these Client Terms control for your purchases.

“Velanir,” “we” and “us” mean Botero Labs, Inc. d/b/a Velanir. Your “Provider” is the business that invited you to your Client Workspace and operates it for you. The person who accepts these Client Terms represents that they have authority to bind the Client.

1. You Buy from Velanir

Velanir is the seller. Velanir is the seller and merchant of record of your Client Workspace subscription, your Client usage packs and your Client automatic top-ups (each, a “Purchase”). You buy each Purchase from Velanir, not from your Provider, and Velanir is responsible for it.

What you will see. Velanir charges your card, and the charge appears on your card statement under the name VELANIR and may also show your Provider’s name. Velanir sends your receipts and invoices. A payment page may show your Provider’s name or branding, for example “billed by Velanir for” your Provider; the purchase is still from Velanir.

Support. For any question about a Purchase, a charge, a receipt, tax or a refund, contact Velanir at support@velanir.ai.

2. Your Provider’s Role

Your Provider invites you to your Client Workspace, sets its monthly price, manages the workspace, and builds and operates its Agents for you. Your Provider does not sell you any Purchase, does not collect your payment for it, and cannot pay for it or make it on your behalf. Velanir pays your Provider a share of your Client Workspace subscription payments under a separate agreement between Velanir and your Provider; this does not change your price.

Any services your Provider sells you directly, such as designing, building or maintaining automations and Agents, are under your own agreement with your Provider. Velanir is not a party to that agreement and is not responsible for those services, their price or their quality. Questions about them go to your Provider.

3. Your Client Workspace and Billing Admins

Invitation first, then payment. Your Provider names the first member of your Client Workspace. Velanir emails that person an invitation. Once they accept with a verified email address matching the invitation, they become the workspace’s first owner and can pay its first payment. The workspace and its Agents become available only after the first payment is confirmed, or, for a workspace your Provider includes at $0, when the owner activates it.

Billing admins. The person who makes the first payment (or activates a $0 workspace) becomes a billing admin. Only billing admins may make Purchases, change the card, set the billing address and consent to automatic top-ups, and they may grant the role to other members of your workspace. A billing admin keeps the role only while an active member of the workspace. Members of your Provider can never be billing admins.

Payment requests. A payment request for your first payment is valid for 7 days. If it expires, ask your Provider to send a new one.

4. Subscription, Price and Automatic Renewal

Price. Your Client Workspace has the monthly price, before tax, shown to you before you pay. Your Provider sets it within Velanir’s rules. A Client Workspace priced at $0 has no subscription charge.

Automatic renewal. YOUR CLIENT WORKSPACE SUBSCRIPTION RENEWS AUTOMATICALLY EVERY MONTH, ON THE SAME DAY OF THE MONTH AS YOUR FIRST PAYMENT, AND VELANIR CHARGES THE MONTHLY PRICE PLUS APPLICABLE TAX TO THE CARD ON FILE AT EACH RENEWAL UNTIL THE SUBSCRIPTION IS CANCELLED OR ENDS. By making your first payment you authorize these recurring charges.

Price changes. If your Provider changes your workspace’s price, the new price applies from your next renewal, with no proration, and Velanir emails notice to your workspace’s payer before it applies. If you do not want to pay the new price, you may cancel before that renewal under Section 5.

A $0 workspace that becomes paid. If your Provider moves from its Business plan to its Free plan and keeps your $0 workspace, the workspace moves to $200 per month at its next renewal. Velanir emails notice and sends your workspace’s owner a $200 payment request. Nothing is charged unless a billing admin saves a card for it.

Failed renewal. If a renewal payment fails, Velanir retries it for 7 days, during which your Agents run on purchased balances only. If it is still unpaid after 7 days, your Agents stop starting new work, and your workspace data is kept. Paying resumes service.

5. Cancellation and Ending

Cancelling. A billing admin may cancel your Client Workspace subscription at any time in the Billing page of the Client Portal, or by emailing support@velanir.ai from the billing admin’s address. Cancellation takes effect at the end of the current paid month; you keep access until then, and the current month is not refunded or prorated.

When your Provider ends the workspace. Your Provider may end your Client Workspace, for example by deleting it, by not keeping it when it changes plans, or by closing its own Velanir account. Velanir will email your workspace’s owners. A workspace that is not kept ends at the end of its paid period. When a workspace ends, its owners keep read-only access for 30 days and may ask Velanir for an export of the workspace’s data during that time.

No automatic prorated refund. If your workspace is deleted or ends in the middle of a paid month, including when your Provider deletes it, the unused part of that month is not refunded automatically. Your Provider may arrange a refund at its discretion under Section 8.

Purchased balances. If your workspace becomes inactive or is cancelled, Velanir keeps your unused purchased AI credits and workflow runs for 12 months and restores them if the workspace is reactivated within that time. After 12 months they are forfeited.

6. Usage, Packs and Automatic Top-Ups

Included usage. Each Client Workspace includes 2,500 workflow runs and 15,000 AI credits each month, reset on its renewal anniversary. One AI credit covers $0.0005 of AI model cost. Usage by your Agents and your Provider’s work in your workspace both draw on it. Unused included usage does not carry over.

Usage packs. A billing admin may buy usage packs from Velanir: 10,000 AI credits for $20 or 1,000 workflow runs for $10, plus applicable tax. A pack becomes usable at the first full hour (UTC) after its payment is confirmed. Purchased credits and runs carry over from month to month and do not expire while your workspace is active, and included usage is used before purchased usage.

Automatic top-ups. A billing admin may separately consent, for AI credits and for workflow runs, to automatic top-ups. Both are off unless turned on; saving a card does not turn them on. When a consented meter’s remaining balance falls below 10% of its monthly allowance, Velanir charges the saved card for one pack of that meter, up to a monthly cap the billing admin sets (5 packs per meter by default). A billing admin may turn automatic top-ups off at any time, effective at once; a purchase already in progress completes. Consent ends if the person who gave it stops being a billing admin.

Failed top-ups. If an automatic top-up payment fails, Velanir alerts you, retries after 1 hour and 12 hours, and keeps your Agents running for 24 hours. Usage during those 24 hours is repaid first from your next successful purchase or monthly allowance. If the payment is still unresolved after 24 hours, new work stops until a payment succeeds.

Running work. Work already running when a balance runs out is allowed to finish; any usage beyond the balance is repaid first from your next pack or monthly allowance. New work does not start at a zero balance unless automatic top-ups are on.

7. Taxes and Billing Address

Prices are in U.S. dollars and do not include tax. Velanir calculates, collects and remits the sales and use tax that applies to each Purchase, based on your billing address, and shows the tax before you pay. You must give an accurate U.S. billing address before your first taxed payment and keep it current; a Purchase may be refused until a valid address is on file. Your billing address is held by Velanir’s payment processor, Stripe.

8. Refunds and Disputes

Subscription payments. Client Workspace subscription payments are not refundable, except (a) a refund your Provider arranges with Velanir under Velanir’s agreement with your Provider, (b) where the law or card-network rules require a refund, or (c) to correct a billing error. There is no automatic prorated refund when a subscription is cancelled or a workspace ends mid-month. Velanir issues any refund, including the tax charged on the refunded amount, to the original card. A refund does not by itself end the subscription or stop the workspace during its paid month.

Packs and top-ups. Client usage packs and automatic top-ups, including purchased usage that is never used, are not refundable, except where the law requires.

Billing questions. If you believe a charge is wrong, contact support@velanir.ai first so we can resolve it. This does not limit any right you have with your card issuer.

9. Service Availability

Your workspace and its Agents may be unavailable, or may stop starting new work, while a payment is unpaid as described above, while your Provider’s account is suspended or closing, or if Velanir suspends your workspace under the General Terms. Work already running finishes, and your data is kept. Velanir will show the reason in the Client Portal where it can.

10. Your Data and Your Provider

Your Provider’s members can access your Client Workspace, including its Agents, integrations, documents and conversations, to provide their services to you. Velanir shares with your Provider the status and amount of your subscription payments and any refunds, but not your card details or your billing address. The Velanir Privacy Policy and the General Terms describe how Velanir handles your information.
